Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Et Fing, LLC, doing business as Mix Revision (“Mix Revision,” “we,” “us,” or “our”), governing your access to and use of the Mix Revision platform, including the web application at mixre.vision, any downloadable software (including the Pro Tools plugin), and all related services (collectively, the “Services”).

By accessing or using the Services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the Services.

1. Our Services

Mix Revision is a web-based mix revision management platform for professional audio engineers. The Services allow engineers to upload audio files, share persistent review links with clients, receive timestamped feedback, and manage revision workflows as structured task lists. Mix Revision also offers a downloadable plugin for use with Pro Tools and other compatible digital audio workstations.

2. Intellectual Property

The Services, including all software, design, text, graphics, logos, and other content created by Mix Revision, are owned by Et Fing, LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract source code from any software we provide, except as permitted by law or with our express written consent.

3. User Accounts

To access engineer-facing features, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at privacy@mixre.vision if you suspect unauthorized access.

4. Subscriptions and Billing

Trial Period

New accounts include a 7-day free trial. A valid payment method is required to start a trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the then-current rate.

Subscription Plans

Mix Revision is offered on a monthly subscription basis at $19.00 USD per month. Prices are subject to change with at least 30 days' notice to your registered email address.

Billing

Subscriptions are billed monthly in advance through Stripe. By providing a payment method, you authorize us to charge it for all fees due.

Cancellation

You may cancel your subscription at any time through account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

5. Prohibited Activities

You agree not to use the Services to:

• Upload audio files or other content for which you do not have the necessary rights or licenses
• Infringe on the intellectual property rights of any third party
• Share review links with unauthorized third parties in violation of your confidentiality obligations
• Reverse engineer, decompile, or disassemble any portion of the Services
• Attempt to gain unauthorized access to any part of the Services
• Use automated tools to scrape or index the Services without prior written consent
• Transmit viruses, malware, or other malicious code
• Use the Services for any unlawful purpose or in violation of any applicable law
• Interfere with or disrupt the integrity or performance of the Services

6. User Content

You retain ownership of all audio files, text comments, and other content you upload or submit through the Services (“User Content”). By uploading User Content, you represent that you own or have the necessary rights to upload and share it, and that it does not infringe on the intellectual property rights of any third party.

7. Content License

By uploading User Content, you grant Mix Revision a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit your User Content solely as necessary to provide the Services to you. We will not use your audio files for any purpose other than delivering the Services. This license terminates when you delete the content or close your account.

8. Downloadable Software

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Plugin solely for your personal or internal business use in connection with the Services. You may not distribute, sublicense, or sell the Plugin. The Plugin may require a valid Mix Revision subscription to function.

9. Term and Termination

These Terms remain in effect for as long as you use the Services. We may suspend or terminate your access at any time if we believe you have violated these Terms. You may terminate your account at any time through account settings. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and dispute resolution.

10. Modifications and Interruptions

We reserve the right to modify or discontinue the Services at any time. We do not guarantee uninterrupted availability and are not liable for any modification, suspension, or discontinuation.

11. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles. Any legal action not subject to arbitration will be brought exclusively in the state or federal courts located in Tennessee.

12. Dispute Resolution

Informal Resolution

Before initiating any formal dispute, contact us at privacy@mixre.vision and give us a reasonable opportunity to resolve the issue informally.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Tennessee or remotely at your election. If AAA determines that arbitration fees would be excessive, we will pay fees to the extent necessary to make arbitration accessible to you.

Class Action Waiver

Any arbitration or legal proceeding will be conducted on an individual basis only. Neither party may bring a claim as a plaintiff or class member in any class, collective, or representative proceeding.

Time Limitation

Any claim arising out of these Terms must be brought within one (1) year of the event giving rise to the claim. Claims not brought within this period are permanently barred.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIX REVISION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO MIX REVISION IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $57.00 USD.

15. Indemnification

You agree to defend, indemnify, and hold harmless Mix Revision and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

16. Copyright and DMCA

If you believe content on the Services infringes your copyright, send a notice to our designated copyright agent including: a description of the copyrighted work; the location of the infringing material; your contact information; a good faith belief statement; and your signature.

17. User Data

We collect and process data about you as described in our Privacy Policy, which is incorporated into these Terms by reference.

18. Miscellaneous

• Entire Agreement. These Terms, the Privacy Policy, and Cookie Policy constitute the entire agreement between you and Mix Revision.
• Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and remaining provisions remain in effect.
• Updates. We may update these Terms with 30 days' notice. Continued use constitutes acceptance.
• Assignment. You may not assign your rights without our written consent. We may assign our rights without restriction.
